1) Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

2) Eligibility & Authority

You must be at least 18 years old to use the Service. If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3) Accounts & Security

• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
• You agree to provide accurate, current information and to keep it updated.
• You must promptly notify us if you suspect unauthorized access or security issues related to your account.

4) Acceptable Use

You agree not to misuse the Service. Without limitation, you will not:

• Use the Service to violate any applicable law or regulation.
• Attempt to gain unauthorized access to accounts, systems, or data (including by scanning, probing, or testing vulnerabilities).
• Interfere with or disrupt the integrity or performance of the Service (including by sending malware or excessive automated requests).
• Reverse engineer, decompile, or attempt to extract source code or non-public components of the Service except where prohibited by law.
• Use the Service to send spam or unlawful marketing messages, or to collect personal data without proper legal basis and consent where required.

5) Subscriptions, Billing & Taxes

• Some features may require payment. Pricing, plan inclusions, and billing frequency will be presented to you at checkout or within the Service.
• You authorize us (and our payment processors) to charge your selected payment method for applicable fees, taxes, and adjustments.
• You are responsible for applicable taxes, duties, and government charges unless expressly stated otherwise.
• We may update pricing or plan details from time to time. If a change applies to an existing subscription, we will provide reasonable notice where required.

6) Refunds

Refund eligibility (if any) depends on the plan, the reason for the request, and the timing of the request. Unless otherwise required by law or expressly stated at purchase, fees are non-refundable.

7) Third-Party Services

The Service may integrate with or rely on third-party services (for example, payment processors such as PayMongo, hosting providers, or messaging tools). Your use of third-party services is subject to their own terms and policies. We are not responsible for third-party services and do not guarantee their availability, performance, or security.

8) Data & Privacy

Our handling of personal information is described in our Privacy Policy. Please review it at /privacy-policy. If there is a conflict between these Terms and the Privacy Policy regarding personal data, the Privacy Policy controls.

You are responsible for ensuring that you have the rights, notices, and consents required to collect, use, and share any information you submit to the Service, including data about your customers, team members, or leads.

9) Intellectual Property

We and our licensors own all rights, title, and interest in and to the Service, including all software, designs, and content we provide. These Terms do not grant you any ownership rights in the Service.

Subject to these Terms and timely payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription or authorized access period.

10) Feedback

If you provide suggestions, ideas, or feedback, you grant us a non-exclusive, worldwide, royalty-free license to use and incorporate that feedback into the Service without restriction or compensation.

11) Confidentiality

In the course of using the Service, you may receive non-public information about the Service. You agree not to disclose such information to third parties without our prior written consent, and to use it only as necessary to use the Service.

12) Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

13) Limitation of Liability

To the maximum extent permitted by law, Nexistry Digital Solutions will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to your use of (or inability to use) the Service.

To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the amounts you paid us for the Service in the three (3) months immediately preceding the event giving rise to the claim, or PHP 5,000, whichever is higher.

14) Indemnity

You agree to defend, indemnify, and hold harmless Nexistry Digital Solutions from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your content or data submitted through the Service.

15) Suspension & Termination

We may suspend or terminate access to the Service (in whole or in part) if we reasonably believe: (a) your use poses a security risk; (b) you violate these Terms; (c) required fees are not paid; or (d) we must do so to comply with law. Where reasonable, we will attempt to provide notice and an opportunity to cure.

16) Changes to the Service or Terms

We may update the Service and these Terms from time to time. When we make material changes, we will post the updated Terms and revise the Effective Date. Continued use of the Service after changes become effective means you accept the updated Terms.

17) Governing Law & Venue

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought in the proper courts of the Philippines, and you consent to such venue and jurisdiction.
